Please read these Terms of Service carefully before using ResEat. By creating an account, you agree to be bound by these terms.

1. Agreement to Terms

By accessing or using ResEat ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these terms.

If you do not agree to these terms, do not use the Service.

2. Description of Service

ResEat is a cloud-based restaurant reservation management platform that allows venue operators to manage bookings, floor plans, guest profiles, and related operational data.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where possible.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised access

You must be at least 18 years old to create an account.

4. Subscription Plans & Billing

Free Starter Plan: Available at no charge, subject to usage limits as described on our pricing page. We reserve the right to change limits with 30 days notice.

Paid Plans: Billed monthly in AUD. Payment is due in advance. All charges are non-refundable except as required by the Australian Consumer Law.

Cancellation: You may cancel your subscription at any time. Your access will continue until the end of your current billing period.

Price Changes: We will give at least 30 days notice of any price changes via email.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer, copy, or resell the Service
• Upload malicious code or attempt to compromise our systems
• Collect or harvest other users' data
• Use the Service to send unsolicited commercial communications
• Misrepresent your identity or affiliation

We may suspend accounts that violate these terms.

6. Your Data

You retain ownership of all data you enter into ResEat, including guest records and booking information. By using the Service, you grant us a limited licence to host, store, and process this data solely to provide the Service.

You are responsible for ensuring you have appropriate legal basis (under the Australian Privacy Act) to collect and store guest personal information through our platform.

7. Intellectual Property

The ResEat platform, including its interface, code, design, and documentation, is owned by ResEat and protected by Australian and international intellectual property laws.

You may not reproduce, distribute, or create derivative works from any part of the Service without our written permission.

8. Third-Party Integrations

The Service may integrate with third-party services (e.g., SMS providers, payment processors). Your use of these services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Limitation of Liability

To the maximum extent permitted by law, ResEat shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, lost bookings, or business interruption.

Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these terms excludes consumer guarantees under the Australian Consumer Law.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We are not liable for downtime caused by factors outside our control including internet outages, third-party service failures, or force majeure events.

We will make reasonable efforts to notify you in advance of planned maintenance.

11. Termination

We may terminate or suspend your account without notice if you:

• Breach these Terms of Service
• Engage in fraudulent or illegal activity
• Fail to pay applicable fees

On termination, your right to use the Service ceases immediately. You may export your data for 90 days following account termination.

12. Governing Law

These Terms of Service are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the new terms.
